Smart AI Terms and Legal Governance
1. Scope and Governance
"Smart AI" encompasses all proprietary and integrated artificial intelligence, machine learning, deep learning, and natural language processing capabilities made available within the Service. This includes, but is not limited to, the AI assistant sidebar, automated document parsing/OCR, intelligent audit workflows, predictive risk scoring, and generated summaries ("Output").
These AI Usage and Terms ("AI Terms") govern your access to and use of Smart AI features. They supplement our core Terms and Conditions. In the event of a direct conflict between these AI Terms and the Terms and Conditions, these AI Terms shall take precedence solely regarding Smart AI functionality.
Smart AI is a productivity overlay designed to augment professional workflows. Output generated by Smart AI serves as an analytical aid and does not supersede human oversight or professional audit judgment.
2. Data Privacy & Model Training Boundaries
Data Processing: When utilizing Smart AI, contextually relevant Customer Data (e.g., audit workpapers, uploaded documentation, structured ledgers, and prompt queries) is processed to render the requested Output. All processing occurs in compliance with our Privacy Policy and data security standards.
Zero Model Training Assurance: Customer Data submitted to Smart AI is never utilized to train, retrain, fine-tune, or improve public or foundational AI models, nor is it made available to other customers. Your data remains completely isolated.
Data Retention: Inputs and Outputs are ephemeral or retained strictly according to your configured account retention policy and our Data Retention (DR) agreements with underlying infrastructure providers, as outlined in our Security Policy.
3. AI Architecture & Subprocessors
Smart AI leverages a multi-model architecture hosted within certified cloud infrastructure. Third-party large language models (LLMs) and processing pipelines are integrated via APIs governed by strict data protection agreements:
- AWS Bedrock Powers natural language reasoning, checklist validation, complex data aggregation, and semantic search utilizing:
- Anthropic Claude models
- Cohere embedding models
- Google Cloud AI Executes OCR, document structure analysis, and automated metadata extraction.
We reserve the right to upgrade or swap underlying models to enhance security, performance, or accuracy, subject to the privacy commitments in Section 2.
4. Accuracy Disclaimer & Professional Responsibility
Output Verification: AI systems use probabilistic models that may occasionally produce incorrect, incomplete, or inaccurate information. Company makes no representations or warranties regarding the absolute accuracy or reliability of any Output.
No Professional Opinions: Smart AI does not provide binding accounting, legal, audit, statutory, or tax advice. Output produced by Smart AI does not constitute a certified audit opinion or professional endorsement. You remain solely responsible for the review, verification, and final sign-off of all work products incorporating AI Output.
5. Acceptable Use and Restrictions
You agree to use Smart AI strictly in accordance with our Terms & Conditions. You shall not:
- Attempt to reverse-engineer, decompile, extract source weights, or probe system prompts or underlying architecture of Smart AI;
- Utilize Smart AI Output to train, fine-tune, or benchmark competing artificial intelligence models or SaaS products;
- Input protected health information (PHI) or unapproved personal data unless appropriate agreements are executed;
- Bypass rate limits, security guardrails, or safety filters implemented within the Service.
We reserve the right to throttle or temporarily suspend access to Smart AI features for any account in violation of these usage guardrails to maintain platform safety and stability.
6. Third-Party Infrastructure Guarantees
To the extent Smart AI relies on third-party cloud infrastructure (as detailed in Section 3), Company ensures all third-party providers are bound by strict contractual safeguards. These include zero-day data retention for model inputs/outputs, prohibitions on data harvesting, and compliance with global privacy frameworks.
7. Warranty Disclaimer
EXCEPT AS EXPRESSLY STATED IN YOUR TERMS AND CONDITIONS, SMART AI AND ALL GENERATED OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
8. Limitation of Liability
IN NO EVENT SHALL COMPANY, ITS AFFILIATES, OR ITS THIRD-PARTY AI PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM THE USE OF OR INABILITY TO USE SMART AI OR ANY OUTPUT GENERATED THEREFROM. LIABILITY FOR DIRECT DAMAGES RELATED TO SMART AI SHALL BE GOVERNED BY THE LIABILITY CAP SET FORTH IN OUR TERMS AND CONDITIONS.
9. Modifications to AI Terms
As AI technologies and regulations evolve, we may update these AI Terms to reflect changes in functionality, vendor usage, or legal compliance. Material changes affecting data handling or privacy will be communicated to account administrators or announced via our Security Policy prior to implementation. Continued use of Smart AI following updates constitutes acceptance of the amended AI Terms.
